1. Acceptance of Terms

By accessing or using the Impexly platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Impexly.com ("Impexly," "we," "us," or "our").

We reserve the right to modify these Terms at any time. Your continued use of the Platform following any changes constitutes acceptance of those changes. We encourage you to review these Terms periodically to stay informed of any updates. If you are using the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

These Terms apply to all visitors, users, buyers, suppliers, freight agents, and service providers who access or use the Platform. By creating an account, posting listings, submitting requests for quotation, or engaging in any activity on the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

2. User Accounts

To access certain features of the Platform, you must register for an account. When registering, you agree to provide accurate, current, and complete information and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account.

You must notify Impexly immediately of any unauthorized use of your account or any other breach of security. Impexly will not be liable for any loss or damage arising from your failure to comply with this section. You may not transfer your account to another person or use another person's account without permission. Each user may maintain only one active account unless expressly authorized by Impexly.

You must be at least 18 years of age to create an account and use the Platform. By registering, you represent and warrant that you are of legal age to form a binding contract in your jurisdiction. Impexly reserves the right to suspend or terminate accounts that violate these requirements or that are found to contain fraudulent or misleading registration information.

3. Platform Use

You agree to use the Platform only for lawful business purposes in connection with international trade, commerce, and related professional services. You may browse product and service listings, submit requests for quotation, communicate with other users, and participate in marketplace activities in accordance with these Terms and applicable laws.

You may not use the Platform to engage in fraud, misrepresentation, or deceptive practices; post or distribute malware, spam, or unauthorized advertising; attempt to gain unauthorized access to other users' accounts or Platform systems; circumvent any security measures or usage restrictions; or use automated tools to scrape, harvest, or extract data from the Platform without express written consent.

Impexly reserves the right to monitor, investigate, and take appropriate action against any activity that we believe, in our sole discretion, violates these Terms, is harmful to other users or the Platform, or may create liability for Impexly. Such action may include, without limitation, issuing warnings, suspending or terminating accounts, removing listings, and restricting access to Platform features.

4. Product Listings

Suppliers and service providers who list products or services on the Platform ("Listings") are solely responsible for the accuracy, completeness, and legality of their Listings. All Listings must accurately describe the product or service being offered, including specifications, pricing, availability, trade terms (such as Incoterms), and any applicable certifications or compliance information.

You represent and warrant that you have the legal right and authority to sell or provide the products or services listed, that all products comply with applicable laws and regulations in the jurisdictions where they are offered, and that your Listings do not infringe upon the intellectual property or other rights of any third party. Impexly does not verify, endorse, or guarantee the quality, safety, or legality of any Listing on the Platform.

Impexly reserves the right to remove, edit, or reject any Listing that, in our sole discretion, violates these Terms, applicable law, or our community guidelines. We may also require suppliers to update their Listings to reflect changes in product availability, pricing, or specifications. Repeated violations may result in account suspension or permanent removal from the Platform.

5. Buying Requirements (RFQ)

Buyers who submit Requests for Quotation ("RFQs") through the Platform must provide genuine, accurate, and complete information about their purchasing requirements. RFQs must reflect a bona fide intent to procure the described products or services and should include relevant details such as quantity, specifications, destination, delivery timeline, and any other requirements necessary for suppliers to provide accurate quotations.

You agree not to submit RFQs for speculative or fraudulent purposes, to collect competitive pricing information without genuine purchasing intent, or to misrepresent your identity, business, or purchasing authority. Impexly monitors RFQ submissions for quality and may remove RFQs that appear to be misleading, duplicative, or non-compliant with these Terms.

All quotations received in response to an RFQ are provided by the respective suppliers and do not constitute an offer or binding commitment by Impexly. The terms of any eventual transaction, including pricing, delivery, and payment terms, are to be negotiated directly between the buyer and the supplier. Impexly is not a party to these negotiations or the resulting transactions.

6. Messaging and Communication

The Platform provides messaging and communication tools to facilitate business interactions between users. You agree to use these tools in a professional, respectful, and lawful manner at all times. All communications must be related to legitimate business activities conducted through the Platform, and must comply with applicable laws, including anti-spam and anti-harassment regulations.

You may not use the Platform's communication tools to send unsolicited commercial messages, share content that is offensive, threatening, defamatory, or otherwise inappropriate, solicit personal or financial information under false pretenses, or attempt to redirect users to conduct transactions outside of the Platform in a manner that circumvents our services.

Impexly may monitor communications on the Platform to ensure compliance with these Terms and to investigate reported violations. While we respect user privacy, we reserve the right to review, store, and disclose communications if required by law or if we believe such action is necessary to protect the rights, safety, or property of Impexly, our users, or the public. Users may report inappropriate communications through our reporting mechanisms.

7. Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, software, and the overall design and compilation of the Platform, are the exclusive property of Impexly or its licensors and are protected by international copyright, trademark, patent, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without our express written permission.

By posting content on the Platform, you grant Impexly a non-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the operation, promotion, and improvement of the Platform. This license permits Impexly to display your Listings, profile information, and other content to other users and in marketing materials.

You represent and warrant that all content you submit to the Platform does not infringe upon the intellectual property rights or other rights of any third party. Impexly will comply with valid intellectual property complaints and may, at its discretion, remove content that is alleged to be infringing. Repeated infringement may result in account termination.

8. Limitation of Liability

Impexly is an online marketplace that facilitates connections between buyers, suppliers, freight agents, and service providers. Impexly is not a party to any transaction conducted between users on the Platform and does not act as a broker, agent, or intermediary for any transaction. All agreements, contracts, and transactions are made directly between the parties involved, and Impexly has no control over and assumes no responsibility for the quality, safety, legality, or performance of any products, services, or transactions.

To the fullest extent permitted by applicable law, Impexly, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the Platform, regardless of the theory of liability.

In no event shall Impexly's total aggregate liability for all claims arising out of or related to these Terms or your use of the Platform exceed the greater of (a) the amount you have paid to Impexly in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100 USD). Some jurisdictions do not allow the exclusion or limitation of liability, so some of the above limitations may not apply to you.

9. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Impexly is incorporated, without regard to its conflict of laws provisions. Any disputes arising out of or related to these Terms or your use of the Platform shall first be submitted to informal negotiation. You agree to contact Impexly at legal@impexly.com with a description of the dispute and to attempt to resolve the matter in good faith within sixty (60) days.

If the dispute is not resolved through informal negotiation within sixty (60) days, either party may submit the dispute to binding arbitration administered by a recognized international arbitration body, such as the International Chamber of Commerce (ICC). The arbitration shall be conducted in English, and the arbitral award shall be final and binding upon the parties. The seat of arbitration shall be the jurisdiction in which Impexly is incorporated.

You agree to resolve disputes with Impexly on an individual basis only and waive any right to bring or participate in class actions, collective actions, or representative proceedings. Any claims you may have against Impexly must be brought within one (1) year from the date the claim arose, or they shall be permanently barred. This limitation period applies regardless of the theory of liability.

10. Modifications

Impexly reserves the right to modify, amend, or update these Terms of Service at any time, in its sole discretion. When we make material changes to these Terms, we will notify you by posting the updated Terms on the Platform and, where appropriate, by sending an email notification to the address associated with your account. The "Last updated" date at the top of these Terms indicates when the most recent revisions were made.

Changes to these Terms will become effective immediately upon posting, unless otherwise specified. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with any changes to these Terms, you must stop using the Platform immediately and may request that your account be terminated by contacting us.

We encourage you to periodically review these Terms to stay informed of any updates. In the event of a material change, we may also display a prominent notice on the Platform for a reasonable period. It is your responsibility to check these Terms regularly. Archived versions of previous Terms may be made available upon request.
